By accessing or using Cognify Suite ("Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the Service.
By installing or using Cognify Suite from the Shopify App Store, you agree to these Terms on behalf of yourself and your organization.
Important: You must be at least 18 years old to use our Service.
2. Service Description
Cognify Suite provides AI-powered upsell and cross-sell functionality:
- Product page upsells and bundles
- Cart upsells and recommendations
- Checkout extensions (Shopify Plus)
- Post-purchase offers
- AI-powered recommendations
- Analytics and A/B testing
We reserve the right to modify or discontinue the Service at any time.
3. Account Responsibilities
When you install Cognify Suite, you are responsible for:
- Maintaining security of your Shopify credentials
- All activities under your account
- Ensuring compliance with Shopify's Terms
- Providing accurate information
- Notifying us of unauthorized use
4. Billing & Payments
4.1 Free Trial
We offer a 14-day free trial. No credit card required.
4.2 Subscription
After your trial, select a paid plan through Shopify's billing. Prices may change with 30 days notice.
4.3 Refunds
Refunds follow Shopify's policies. Contact us at [email protected].
4.4 Cancellation
Cancel anytime by uninstalling. Access continues until billing period ends.
5. Acceptable Use
You agree NOT to:
- Violate any laws or third-party rights
- Transmit malicious code
- Attempt unauthorized system access
- Interfere with the Service
- Use for fraudulent purposes
- Resell without authorization
⚠️ Violations may result in immediate termination without refund.
6. Intellectual Property
6.1 Our IP
The Service and all content is owned by Cognify Suite and protected by international IP laws.
6.2 Your Content
You retain rights to your product data. You grant us license to use it solely for providing the Service.
6.3 Feedback
Feedback you provide may be used without restriction or compensation.
7. Limitation of Liability
COGNIFY SUITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
TOTAL LIABILITY SHALL NOT EXCEED AMOUNTS PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES. We do not guarantee:
- Uninterrupted or error-free operation
- Accuracy of results
- Any specific sales increase
9. Termination
We may terminate your access for:
- Breach of these Terms
- Failure to pay
- Violating Shopify's Terms
- Fraudulent activity
- Extended inactivity
10. Changes to Terms
We may modify these Terms with at least 30 days notice for material changes. Continued use constitutes acceptance.
11. Governing Law
These Terms are governed by the laws of British Columbia, Canada. Disputes resolved through binding arbitration.
